Terms & Conditions

These terms govern your use of modelr.ai. In plain terms: founders upload a financial model and share it with counterparties, who can explore scenarios only within the bounds the founder sets. By using the Service you agree to what’s below, so please read it, especially the disclaimer on what modelr is and isn’t.

Agreement to terms

These Terms & Conditions (“Terms”) are a binding agreement between you and colliga.ai (“modelr”, “we”, “us”), which operates modelr.ai and app.modelr.ai (the “Service”). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind it to these Terms.

Definitions

  • Founder: a user who uploads a financial model and shares it with counterparties.
  • Counterparty: a user invited by a founder to review a shared model (for example, an investor).
  • Model: a financial model and related materials a founder uploads.
  • Governance configuration: the bounds, ranges, and constraints a founder defines for how a model may be explored.
  • Session: a counterparty’s exploration of a shared model within the founder’s governance configuration.
  • Workspace: the founder’s account environment where their models and data live.

Eligibility & accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You agree to provide accurate information and to keep it up to date.
  • You are responsible for activity under your account and for keeping your sign-in credentials secure. Tell us promptly of any unauthorized use.
  • Access to the product is by application or invitation. Counterparty access is granted through a founder’s invitation.

The Service & roles

modelr.ai lets a founder turn a financial model into a governed, interactive artifact and share it with counterparties. The Service reads the uploaded model, derives a governance configuration, and lets invited counterparties explore scenarios within that configuration.

  • Founders may upload models, derive and publish a governance configuration, and invite counterparties. Depending on subscription features, they may also review aggregated information on counterparty exploration, and use other current and planned features.
  • Counterparties may view and explore a shared model within the founder’s bounds. Counterparties cannot alter a founder’s published model and do not receive the underlying source file unless the founder provides it separately.

We may change, suspend, or discontinue features of the Service at any time. The Service is under active development and some features may be labeled beta or preview.

Founder cohort, plans & billing

  • Who pays. Founders pay for the Service; counterparties explore shared models for free.
  • Founder cohort. Cohort access is offered by application and review; founders apply rather than purchase upfront. Accepted founders receive a 30-day free trial and, in exchange for taking part in the program (including two short feedback questionnaires), 50% off for the first year if they choose to purchase a subscription. During the program, accepted founders are given access to all released features; if they choose to subscribe, features will be provided commensurate with their chosen subscription tier.
  • Plans & fees. Paid plans are offered in tiers and are billed monthly or annually (annual billing includes a discount at the then-published rate). The current tiers as well as the features and price for each tier are shown at checkout. Fees are stated exclusive of taxes unless noted.
  • Payment. Payments are processed by our payment processor (Stripe). By subscribing you authorize recurring charges until you cancel.
  • Trials & renewals. Unless you cancel before the trial or term ends, your plan converts to or renews as a paid subscription at the then-current rate.
  • Cancellation & refunds. You may cancel at any time prior to a renewal date; access will continue until that renewal date. Fees are non-refundable unless required by law.

Your content & ownership

You retain all rights to the models, business plans, and other materials you upload (“Your Content”). We do not claim ownership of Your Content.

License to operate the Service. You grant us a limited, non-exclusive, worldwide license to host, store, process, display, and transmit Your Content solely to provide and improve the Service for you, including processing it in conjunction with our AI provider to provide the Service, as described in the Privacy Policy. We do not use Your Content to train AI models.

Our platform. The Service, including its software, design, and the underlying governance technology, is owned by modelr and its licensors and is protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or platform beyond the right to use the Service. By using the Service, you agree not to violate our IP ownership rights in any way, including but not limited to reading webpage code, attempting to reverse engineer our software, or providing access to any parties for such purposes.

Acceptable use

You agree not to:

  • use the Service unlawfully or in violation of these Terms;
  • upload content you do not have the right to share, or that is unlawful, infringing, or malicious;
  • upload files that exceed posted limits (currently 25 MB per file) or use unsupported formats;
  • attempt to circumvent, disable, or exceed a founder’s governance bounds, or otherwise probe, scan, or test the security of the Service;
  • copy, redistribute, or misuse another user’s confidential model or data;
  • reverse engineer, scrape, or build a competing product from the Service;
  • interfere with or disrupt the integrity or performance of the Service.

Confidentiality

A founder’s model and related materials are confidential to that founder. If you are invited as a counterparty, you agree to use a shared model only to evaluate it and not to copy, redistribute, or disclose it to anyone outside your organization without the founder’s consent. We treat Your Content as confidential and limit access to personnel who need it to operate the Service.

Not financial, investment, legal, or tax advice

modelr.ai is a tool for sharing and exploring financial models within bounds as determined by the features accorded by the founder’s subscription. Counterparty workspaces are derived from founder-provided materials, and modelr makes no claims, warranties, or guarantees as to the veracity of those materials. It does not provide financial, investment, legal, accounting, or tax advice, and nothing in the Service is a recommendation to make or refrain from any investment or decision. Model outputs and scenarios are illustrative, depend entirely on the inputs and assumptions provided by founders, and may not reflect actual outcomes. You are solely responsible for your own decisions and should seek advice from qualified professionals before making any decisions based on founder-supplied materials. modelr does not verify the accuracy of any of the information a founder provides or of any outputs delivered by the Service. By using the Service, you acknowledge these terms, and agree to hold colliga.ai, and its successors blameless for any information provided to you by the Service.

Third-party services

The Service relies on third-party providers (for example, payment processing, email, hosting, and AI processing). Your use of those features may be subject to the third party’s own terms, and we are not responsible for third-party services. Links to third-party sites are provided for convenience and are not endorsements.

Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that results obtained will be accurate or reliable. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

Limitation of liability

To the fullest extent permitted by law, modelr and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the 12 months before the claim or USD 100. Some jurisdictions do not allow these limits, so they may not fully apply to you.

Indemnification

You agree to indemnify and hold harmless modelr and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your content, your use of the Service, or your breach of these Terms.

Term & termination

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive (for example, ownership, confidentiality, disclaimers, and limitation of liability) will survive. Where practicable, we will make Your Content available for export for a reasonable period after termination before deletion.

Governing law & disputes

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. The state and federal courts located in New York County, New York have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you and modelr consent to their jurisdiction and venue.

Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and modelr regarding the Service.
  • Severability. If any provision is unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Changes. We may update these Terms; material changes will be reflected in the “Last updated” date and, where appropriate, notified through the Service. Continued use means you accept the changes.
